Terms of Service

The “société par actions simplifiée” SCOPEO with a capital of €2,000, whose registered office is at 59 rue Ponthieu, Bureau 326 75008 PARIS, registered with the Paris RCS under number 891 180 234, represented herein by its President Mr. Marc Sanselme (hereinafter referred to as “Scopeo”) operates the NeverDrop platform.

By creating an account or using NeverDrop, you agree to these Terms of Service. If you do not agree, do not use the Service.

Definitions

Service: refers to the NeverDrop platform, including the web application at app.never-drop.com, the companion mobile application, and all related APIs and services.

User: refers to any natural person who creates an account on the Service, whether as an individual or on behalf of an organization.

Team: refers to the organizational unit within the Service. Users belong to a Team, and billing, scan limits, and data are scoped to the Team level.

Scan: refers to the process of capturing contact information through the Service, whether by photographing a business card (OCR) or by manual entry, including any associated enrichment, context, and follow-up email generation.

Content: refers to any data uploaded, generated, or stored through the Service, including business card images, extracted contact data, voice recordings, text notes, and AI-generated follow-up emails.

Credit Purchase: refers to a one-time payment for credits at the applicable volume tier rate, as described in the Pricing section below.

Description of the Service

NeverDrop is an event lead-capture platform that enables sales teams to:

  • Scan business cards and event tags using AI-powered optical character recognition (OCR)
  • Enrich contacts by finding verified professional email addresses
  • Record voice or text context about conversations
  • Generate AI-drafted personalized follow-up emails
  • Organize leads by event and manage them within a team workspace
  • Integrate with HubSpot (CRM), Gmail and Outlook (email sending)

The Service is provided as a cloud-based SaaS platform accessible via web browser and mobile application.

Account Registration

To use the Service, you must create an account by providing a valid email address and password, or by authenticating via Google OAuth. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you create an account on behalf of an organization, you represent that you have the authority to bind that organization.

Pricing and Credits

The Service uses a pay-as-you-go credit model. Every new account receives 50 free credits — no credit card required. Additional credits can be purchased at any time in any quantity (minimum 100). Volume discounts apply automatically: the more credits you buy, the lower the per-credit price. Prices are in EUR, exclude applicable taxes, and may be updated with 30 days’ prior notice. The current pricing tiers are always available at never-drop.com/pricing.

All features are available to every user — there are no plan tiers or feature locks. Credits are shared across all members of a Team.

Billing and Payment

Credit purchases are one-time payments processed via Stripe. Payment is by credit or debit card. Scopeo does not store card numbers — all payment processing is handled by Stripe (PCI-DSS Level 1 certified).

Invoices are available through the Stripe billing portal, accessible from the Team settings page.

Credit Usage

Different actions consume different amounts of credits (see pricing page for details). When a Team runs out of credits, credit-consuming actions are restricted until more credits are purchased. No data is lost and existing data remains accessible.

Credits never expire and are shared across all Team members.

Recording billing: Each lead (contact) includes 5 free minutes of recording time (shared across all conversation and voice-note recordings for that lead). Beyond the free allowance, recording is billed at 1 credit per 10-minute block. If credits run out during a recording, the recording is automatically stopped after a warning period.

Free Credits

Every new account starts with 50 free credits at no cost and with no credit card required. Scopeo reserves the right to modify the free credit allowance with reasonable notice.

Account Closure and Refunds

You may close your account at any time by contacting support@neverdrop.com. Unused credits are not refundable upon account closure.

If you believe you were charged in error, contact support@neverdrop.com within 30 days.

Upon closure, your data remains accessible in read-only mode for 30 days, after which it may be deleted. You can export your data (CSV) before closing your account.

Right of Withdrawal

In accordance with Articles L221-18 and L221-28 of the French Consumer Code, you acknowledge that credits purchased through the Service constitute digital content delivered immediately upon purchase. By completing a credit purchase, you expressly consent to the immediate provision of the digital content and acknowledge that you waive your right of withdrawal for that purchase.

Mobile Application

The companion mobile application is provided for iOS and Android. It requires camera access (for business card and event tag scanning), microphone access (for voice context recording), and an internet connection.

Business card images are uploaded to the Service for OCR processing and voice recordings are streamed for transcription. Both are retained on our servers (AWS S3, EU) for up to 90 days as a technical backup to allow recovery or repair in case of processing failure, then automatically deleted. Extracted contact data and transcripts remain for the duration of your account. See our Privacy Policy for details.

AI-Generated Content

The Service uses artificial intelligence to generate follow-up email drafts based on contact data and user-provided context. AI-generated content is provided as a suggestion — the User is responsible for reviewing and approving any email before sending.

All intellectual property rights on AI-generated follow-up emails belong to the User. Scopeo does not retain, reuse, or train models on User-generated follow-up content.

Restrictions on Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable law
  • Upload content that is offensive, defamatory, or violates third-party rights
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Share, resell, or sublicense your access to the Service
  • Use automated tools to scrape or overload the Service
  • Circumvent scan limits or billing mechanisms

Intellectual Property

The Service, including its design, code, documentation, and branding, is the exclusive property of Scopeo. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose, subject to payment and compliance with these Terms.

Data Ownership

You retain ownership of all Content you upload or create through the Service. Scopeo processes your Content solely to provide the Service and does not claim any rights over it.

Scopeo may use aggregated, anonymized usage data (not Content) to improve the Service.

Third-Party Services

The Service integrates with the following third-party providers to deliver its functionality:

  • Stripe (Stripe, Inc.) — Payment processing
  • FullEnrich — Contact email and phone enrichment
  • Soniox — Real-time speech-to-text transcription
  • Resend — Transactional email delivery
  • Google (Google Ireland Limited) — OAuth authentication, Gmail and Outlook integration
  • Microsoft (Microsoft Corporation) — Outlook email integration
  • HubSpot — CRM integration (optional, user-initiated)
  • Supabase — Database hosting
  • Vercel — Application hosting
  • Amazon Web Services (AWS EMEA SARL) — Cloud infrastructure
  • OpenAI / Anthropic — AI models for OCR, follow-up email generation, and report generation
  • Mixpanel (Mixpanel Inc.) — Product analytics (EU data residency)
  • Sentry (Functional Software Inc.) — Error monitoring (EU data residency)
  • Expo (650 Industries Inc.) — Mobile app distribution

Each third-party service is governed by its own terms and privacy policy. Scopeo selects providers that meet appropriate security and privacy standards.

Availability and Support

Scopeo uses commercially reasonable efforts to maintain the Service available 24/7, with a target annual availability rate of 99.7%. This excludes scheduled maintenance, force majeure events, and issues related to third-party infrastructure.

Support is available by email at support@neverdrop.com, Monday to Friday, 9:30 AM to 6:00 PM (Paris time), excluding French public holidays. Scopeo commits to acknowledging support requests within 48 working hours.

High-volume customers may contact us for priority support arrangements.

Limitation of Liability

The Service is provided “as is.” Scopeo’s obligations under these Terms are obligations of means, not of result.

Scopeo shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of data due to User error or third-party service failures
  • Accuracy of AI-generated content (Users are responsible for reviewing all outputs)
  • Accuracy of enriched contact data (provided by third-party enrichment services)
  • Interruptions caused by internet connectivity or User equipment

Scopeo’s total aggregate liability under these Terms shall not exceed the amounts paid by the User in the 12 months preceding the claim.

Force Majeure

Neither party shall be liable for failure to perform due to force majeure events as defined by Article 1218 of the French Civil Code.

Personal Data

Scopeo processes personal data in accordance with its Privacy Policy and applicable data protection legislation, including GDPR (EU Regulation 2016/679) and French Law n°78-17 of January 6, 1978.

Where the User acts as data controller and Scopeo as data processor, the terms of Annex 1 below apply.

Confidentiality

Each party agrees to treat as confidential all non-public information received from the other party in connection with the Service. This obligation survives for 5 years after termination.

Modifications to These Terms

Scopeo may update these Terms with 30 days’ prior notice. Continued use of the Service after the effective date constitutes acceptance. If you disagree with a modification, you may close your account before the change takes effect.

Applicable Law and Jurisdiction

These Terms are governed by French law. In case of dispute, the parties will attempt amicable resolution. Failing that, jurisdiction is attributed to the commercial court of Paris.


Annex 1 — Personal Data Processing

For the purposes of this Annex, the terms “data controller”, “processor”, “processing”, “data subjects”, and “personal data” have the same meaning as in GDPR (EU Regulation 2016/679).

Roles

  • The User (or the User’s organization) is the data controller
  • Scopeo is the data processor, processing personal data on behalf of the data controller solely to provide the Service

Processing Details

  • Purpose: Providing the NeverDrop Service — scanning, enriching, and managing event leads
  • Duration: Duration of the account + 5 years (civil prescription)
  • Nature: Collection, hosting, enrichment, processing, transfer, deletion
  • Types of personal data: Business card images, extracted contact data (names, emails, phone numbers, company, job title), voice recordings and transcriptions, conversation context text, enrichment results, phone numbers from enrichment, AI-generated reports, scan metadata
  • Categories of data subjects: Contacts of the User (persons whose business cards are scanned), Users themselves (account data)

The data controller authorizes the data processor to use the following sub-processors:

The data processor will notify the data controller of any intended changes to sub-processors with at least 15 days’ advance notice. The data controller may object to a new sub-processor within 15 days of notification by providing written reasons. If the objection cannot be resolved within a reasonable timeframe, the data controller may terminate the agreement with immediate effect.

Technical and Organizational Measures

The data processor implements appropriate security measures, including:

  • Encryption of data in transit (TLS) and at rest
  • Access control with role-based permissions
  • Unique authentication per employee (Google Workspace SSO)
  • API key encryption with regular key rotation
  • Regular security awareness training for employees

Data Subject Rights

The data processor will forward any data subject requests (access, rectification, deletion, portability) to the data controller within 3 working days of receipt.

International Data Transfers

The data processor endeavors to process personal data within the EU/EEA. Where transfers to third countries occur (e.g., US-based sub-processors), they are protected by Standard Contractual Clauses (SCCs) or adequacy decisions.

Breach Notification

In case of a personal data breach, the data processor will notify the data controller without undue delay and provide details of the breach, its likely consequences, and the measures taken to address it.

Data Deletion

Upon account closure, the data processor will delete or return personal data within 30 days at the data controller’s request, subject to legal retention obligations.
